Terms and Conditions of Use

Welcome to Interiokeys (operated by Star Unity Ecom Pvt. Ltd.). These Terms and Conditions govern your access to and use of the Interiokeys platform (the "Service"). By creating an account or using our Service, you agree to comply with these Terms, the Privacy Policy, and all applicable laws and regulations (including the Information Technology Act, 2000 ("IT Act") and its Rules). These Terms are an electronic record under Indian law (IT Act, 2000) and do not require a physical signature. If you do not agree with any part of these Terms, please do not use our Service. We reserve the right to modify or update these Terms at any time; continued use of the Service signifies your acceptance of any such changes.

1. Scope of Services

Interiokeys is a B2B2C digital platform for real-estate and interior design. We offer two main functions:

• Builder-Partner Listings: Verified builders can create and manage company profiles and project listings. They may upload media, project details, testimonials, leadership information, new product launches, and related content to showcase their work. Builders may request exclusive control over any of their listed properties or content, subject to reasonable notice and handover timelines, and such requests will be addressed in good faith by Interiokeys.
• Community (Admin-Led) Property Listings: Our team may create property listings using publicly available data (e.g. property name, pictures, location). Professional users (architects, designers, etc.) can then contribute by uploading past project images and content linked to these listings. To protect privacy, such contributions must be anonymized using non-identifiable project codes; uploading customer names, apartment numbers, or other personal identifiers is strictly prohibited. Pros are solely responsible for obtaining any required permissions before sharing images or information.

All users (builders, professionals, customers, or other visitors) must create an account to use Interiokeys. Account registration requires accurate personal or company information (such as name, email, and phone). You agree to provide true, current, and complete information. Each account is for individual or entity use only; you will keep your credentials confidential and notify us immediately of any unauthorized use. You are responsible for all activities that occur under your account.

2. User Content and Conduct

Interiokeys is a platform that allows user-generated content (UGC)such as property listings, reviews, ratings, comments, photos, and design inspiration. All content posted by you is non-confidential and non-proprietary. By uploading or posting any content on Interiokeys, you grant Interiokeys (and Star Unity Ecom Pvt. Ltd.) a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, reproduce, display, modify, and distribute that content on the platform and in any media. You retain any intellectual property rights you hold in your content, but you agree not to post anything that infringes others' IP. In particular, any content that:

• (i) violates someone's intellectual property rights,
• (ii) is obscene, pornographic, defamatory, hateful, violent, or abusive,
• (iii) violates privacy (e.g. personal or sensitive data without consent),
• (iv) is unlawful, fraudulent or otherwise objectionable, is strictly prohibited.

The Intermediary Guidelines under the IT Act expressly require that user agreements prohibit content that infringes IP rights or violates laws. You agree not to upload any content that could subject Interiokeys to liability.

Content Moderation and Removal: Interiokeys does not guarantee the accuracy or quality of any user content. We moderate content in good faith but do not pre-screen all material. We reserve the right (but have no obligation) to monitor or remove any content that violates these Terms or applicable law. This includes removing content upon credible reports from other users or upon receipt of a valid legal notice or court order. Our designated Grievance Officer (contactable via support@interiokeys.com) will acknowledge any takedown or privacy complaint within 24 hours and strive to resolve it within 15 days. By using the Service, you also agree to comply with the IT Act and all regulations, including the requirement to remove unlawful content expeditiously. You acknowledge that Interiokeys cannot review every submission, and you use the Service at your own risk.

Prohibited Actions: In addition to the above, you must not:

• Upload anything that violates any law or third-party right.
• Use the Service for unlawful purposes (fraud, infringement, spamming, etc.).
• Copy, sell, rent, or exploit any part of the Service, content, or data, except as expressly allowed.
• Harass, abuse, or harm another user or intercept private communications.
• Post false or misleading information about products, people, or organizations.
• Attempt to interfere with the Service's security, reverse-engineer the platform, or introduce malware.

3. Builder Listings and Data Control

Builder Profiles: Registered builders can create and maintain their official company and project profiles on Interiokeys. You may upload photos, floor plans, product brochures, and other media to your listings. All such content must be your own or properly licensed to you. You warrant that the information you provide is accurate and not misleading. Interiokeys and Star Unity do not verify the authenticity of builder claims or credentials; therefore, builders assume responsibility for the truthfulness of their content.

Data Reclamation: Builders may request to reclaim control over their listing data and media at any time. Upon such request, we will provide a mechanism to transfer the relevant content (subject to a mutually agreeable handover timeline) so you can manage it independently.

Admin-Led Listings:Interiokeys may create or supplement property listings using publicly available information. These listings are intended to benefit the community. Professionals ("Pros") may then associate their past design or renovation projects with these listings, using anonymized project codes. Pros must ensure they have any necessary customer consents before uploading images or details, and may not disclose personal identifiers. Interiokeys does not promote the sharing of personal client data; any such uploads are grounds for content removal and account suspension.

4. Subscription Services and Payments

Interiokeys offers basic services for free (e.g. browsing listings, basic profiles). Premium services(enhanced features, priority listings, analytics, etc.) are available via paid subscription. By subscribing to a premium plan, you agree to pay the fees and taxes specified at signup.

• Billing: Premium subscriptions renew automatically (monthly/annually) until canceled. We will charge the payment method on file at the beginning of each billing cycle.
• Cancellation & Refunds: You may cancel a subscription at any time. Cancellations will take effect at the end of the current billing period; we do not provide prorated refunds for partial periods. Any refund policy will be clearly stated at the time of purchase and will comply with applicable law.
• Taxes: You are responsible for any taxes (GST, etc.) applicable to your purchase.

If you dispute a charge, you must contact us within 30 days. We reserve the right to suspend or terminate premium features for non-payment.

5. Intellectual Property Rights

Platform and Content Ownership: Interiokeys and Star Unity Ecom Pvt Ltd (or their licensors) own all intellectual property rights to the platform, software, and proprietary content (such as site design, trademarks, text, graphics). You may not copy or use these materials except as expressly allowed under these Terms.

User Content: As noted, users retain ownership of their original content, but grant us a broad license to use it on the platform. You represent and warrant that you have the necessary rights to grant this license.

Complaints of Infringement: If you believe your copyright or other IP has been infringed by content on Interiokeys, please contact our Grievance Officer (support@interiokeys.com) with details. We will review and, if valid, remove or disable access to the content promptly, as required by law. Note that intermediaries are required by law to remove infringing content upon receipt of a proper notice.

6. Disclaimers and Limitation of Liability

No Warranty:The Service is provided "AS IS," without any warranties or guarantees. Interiokeys does not promise that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any listings, images, or information provided by users or third parties. Any reliance you place on such content is at your own risk.

No Endorsement: Interiokeys does not endorse or recommend any builder, product, or professional. Listings and reviews are user-generated and do not constitute professional advice. Always verify critical information independently.

Limitation of Liability: To the fullest extent permitted by law, Star Unity and its affiliates (including Interiokeys) will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including loss of data, profits, or goodwill, even if we were advised of the possibility of such damages.

Risk Acknowledgement: You acknowledge that you are solely responsible for any risk associated with any transaction, communication, or relationship formed using our Service. Interiokeys is not a party to agreements between users, nor can we control how individuals use the platform. We are not liable for any direct or indirect damages resulting from interactions or transactions facilitated by the Service.

7. Indemnification

You agree to indemnify and hold harmless Interiokeys, Star Unity Ecom Pvt. Ltd., and their officers, directors, employees and agents from and against any losses, liabilities, claims, damages, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service or any violation of these Terms;
• Any content you upload or post (including infringement of third-party rights or false information);
• Your breach of any law, regulation, or third-party right;
• Your subscription payments or other financial obligations.

In other words, if a third party brings a claim against us because of something you did or posted (for example, for copyright infringement or defamation), you will cover our losses. For example, interiokeys' terms similarly require users to indemnify the company against claims arising from information they post on the site.

8. Grievance Officer and Contact

As an Indian intermediary, Interiokeys has appointed a Grievance Officer to address user complaints under the IT Rules. You can contact us at support@interiokeys.com for any issues related to content removal, privacy, or legal matters. We will acknowledge your complaint within 24 hours and make best efforts to resolve it within 15 days. For urgent matters, you may also write to:

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute or claim arising out of or in connection with these Terms or the Service shall be resolved as follows:

• Negotiation: In good faith first try to resolve the dispute informally by contacting each other.
• Arbitration: If not resolved within 30 days, either party may refer the dispute to final, binding arbitration in Jaipur, India, under the Arbitration and Conciliation Act, 1996 (or any statutory modification). The arbitral tribunal shall consist of a sole arbitrator with expertise in technology or contract law.
• Court Jurisdiction: Notwithstanding the above, either party may seek interim relief (including injunction) from the courts in Jaipur, India.

Both parties waive the right to a trial by jury. You agree that any claim you may have arising from these Terms must be brought within one year after the event giving rise to the claim; otherwise, it is permanently waived.

10. Other Terms

• Changes to the Service or Terms:Interiokeys may modify or discontinue (temporarily or permanently) any part of the Service at any time, with or without notice. We may also change these Terms (or the Privacy Policy); the "Last Updated" date will reflect this change. Your continued use after changes constitute acceptance.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force.
• No Waiver: Our failure to enforce any right does not waive our right to enforce it later.
• Assignment: You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights without restriction.
• Entire Agreement: These Terms (together with the Privacy Policy and any additional terms for specific services) constitute the entire agreement between you and Interiokeys regarding the Service.
